This fee includes:
- drafting the constitution based on our template constitution
- reviewing your comments on our drafts and one round of further revisions
- drafting a shareholders resolution to adopt the constitution
This fee excludes the costs of lodging your constitution on the NZ Companies Office Register.
You may not be eligible for this offer if:

- you have unusual or lengthy requirements
reviewing your equity financing term sheet
$750 + gst
Get recommendations on what you can negotiate, and unpack what the term sheet means for your business.
This fee applies if:
- the lead investor has drafted the term sheet
This fee includes:
- marking up the term sheet with recommendations and adding explanatory comments
- one further revision following feedback

preparing your equity financing long form documents
$10,000 + gst
Raising equity capital from wholesale investors, up to and including series A?
We'll review or draft, and help you negotiate and agree, your long form investment documents.
This fee includes:
- reviewing or drafting, amending, and negotiating, the long form investment documents i.e. your subscription agreement, shareholders’ agreement, and constitution, and related corporate paperwork
- drafting the associated board and shareholder resolutions, consents, and waivers required to approve the funding round
- assisting with your cap table
- helping you draft your disclosures against the warranties provided to your investors
- assisting with completion of the funding round
- updating the company’s share register and the Companies Office records to record the issue of shares to your investors
- advising you on the requirements for eligibility of your investors (you will then manage this eligibility process for the company)

You can request this fee if:
- the ESOP is for a New Zealand company and for recipients in New Zealand
- the ESOP relates to an offer of options to employees, contractors and directors
- your governance documents permit the issue of employee share options without too much hassle
This fee includes:
- reviewing your governance documents to ensure you may put in place an ESOP
- drafting the template share option deed and offer letter base documents, which you'll individualise for each ESOP participant
- reviewing your comments on our drafts and one round of further revisions
- drafting the associated board and shareholder resolutions, consents, and waivers approving the adoption of the ESOP
This fee excludes disbursements and any related employment law, tax and accounting advice. It also excludes preparing individualised option deeds or offer letters, and revision or replacement of existing governance documents to allow the issue of employee share options.
You may not be eligible for this offer if:
- we cannot easily use our template ESOP as a base document
- you are proposing unusual vesting arrangements
- you need changes to your governance documents to allow for an ESOP
KISS or SAFE convertible notes
$2,500 + gst
We will draft, and help you negotiate and agree, a convertible note agreement with a lead investor.
You can request this fee if:
- you can use our standard KISS or SAFE note templates
- we are advising on a single note with a lead investor, or a template note for you to use with multiple investors
This fee includes:
- our drafting of the note and one round of revisions
- drafting the associated board and shareholder resolutions, consents, and waivers approving the transaction
- advising you on the requirements for eligibility of your investors (you will then manage this eligibility process for the company)
